By accessing or using the website at www.decksby.shop (the "Site") and the services provided by DECKS BY ZIEC LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Site or Services. These Terms constitute a legally binding agreement between you and DECKS BY ZIEC LLC.
DECKS BY ZIEC LLC provides computer systems design and related services within the Professional, Scientific, and Technical Services sector. Our services include but are not limited to: systems architecture and design, cloud infrastructure and migration, cybersecurity and compliance, IT strategy and consulting, systems integration, managed IT services, software development, data analytics and AI solutions, and network infrastructure services. The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate service agreement or statement of work.
All content on our Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, and documentation (collectively, "Content"), is the property of DECKS BY ZIEC LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or exploit any Content without our prior written consent.
Upon full payment for our Services, we grant you a non-exclusive, non-transferable license to use the deliverables specifically created for you, subject to the terms of your service agreement. We retain all intellectual property rights in our methodologies, tools, frameworks, and pre-existing materials.
Any suggestions, ideas, or feedback you provide regarding our Services may be used by us without obligation or compensation to you.
As a client or user of our Services, you agree to:
Fees for our Services will be as set forth in the applicable service agreement or statement of work. Unless otherwise specified, all fees are payable in U.S. dollars and are due within thirty (30) days of invoice date. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend Services for accounts that are more than thirty (30) days past due. All fees are exclusive of applicable taxes, which are the responsibility of the client.
Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of the engagement ("Confidential Information"). Confidential Information shall not be disclosed to third parties without the disclosing party's prior written consent, except as required by law. This obligation survives the termination of our business relationship for a period of five (5) years. Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully in the receiving party's possession prior to disclosure; (c) is independently developed by the receiving party; or (d) is rightfully obtained from a third party without restriction.
To the maximum extent permitted by applicable law, in no event shall DECKS BY ZIEC LLC, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of our Site or Services, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or our Services shall not exceed the total amount paid by you to us in the twelve (12) months preceding the event giving rise to the claim.
Our Site and Services are provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that: (a) our Services will meet your specific requirements; (b) our Services will be uninterrupted, timely, secure, or error-free; (c) the results obtained from our Services will be accurate or reliable; or (d) any errors in our Services will be corrected.
You agree to indemnify, defend, and hold harmless DECKS BY ZIEC LLC, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of our Site or Services in violation of these Terms; (b) your violation of any applicable law or regulation; (c) any content or data you provide to us; or (d) your infringement of any third-party rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, at your expense.

Either party may terminate a service engagement in accordance with the terms set forth in the applicable service agreement. We reserve the right to terminate or suspend your access to our Site or Services immediately, without prior notice, for any breach of these Terms or applicable law. Upon termination, your right to use our Services ceases immediately. Sections of these Terms that by their nature should survive termination — including but not limited to intellectual property, confidentiality, limitation of liability, indemnification, and dispute resolution — shall survive any termination.
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, fire, flood, earthquake, pandemic, government action, labor disputes, internet service disruptions, or failures of third-party infrastructure. The affected party shall provide prompt notice of the force majeure event and use reasonable efforts to resume performance as soon as practicable.
These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or our Services shall first be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Woodbridge, Ohio, and the decision of the arbitrator shall be final and binding. Each party shall bear its own costs and attorneys' fees, unless otherwise awarded by the arbitrator.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid provision that most closely reflects the original intent of the parties.
These Terms, together with any service agreement, statement of work, or other documents referenced herein, constitute the entire agreement between you and DECKS BY ZIEC LLC regarding your use of our Site and Services, superseding any prior agreements or understandings, whether written or oral. No modification of these Terms shall be effective unless in writing and signed by an authorized representative of both parties.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision. Any failure by us to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. The exercise of any remedy shall not limit our right to pursue any other remedy available at law or in equity.
